Standard Terms and Conditions

These Terms and Conditions govern the supply of goods and services by CRE8 Merch Limited trading as Innovation1st (“Innovation1st”, “we”, “us”) to any customer (“Customer”).

 

1. Application of Terms

1.1 These Terms and Conditions apply to all quotations, orders and contracts for the supply of goods or services by Innovation1st unless otherwise agreed in writing.

1.2 Where Innovation1st has entered into a separate written agreement or master services agreement with the Customer, the terms of that agreement shall prevail in the event of conflict.

1.3 In the absence of such agreement, these Terms shall prevail over any terms proposed by the Customer, including those contained within any purchase order, procurement portal or supplier onboarding documentation.

1.4 Any variation to these Terms must be agreed in writing by an authorised representative of Innovation1st.

 

2. Quotations

2.1 Quotations are valid for 30 days unless otherwise stated.

2.2 Quotations do not constitute an offer and may be withdrawn or revised prior to order confirmation.

2.3 Prices are based on information available at the time of quotation and may be revised where underlying costs materially change.

 

3. Orders and Contract Formation

3.1 Orders must be confirmed in writing.

3.2 A contract is formed when Innovation1st:

  • confirms the order in writing, or

  • commences production or procurement of goods.

3.3 Innovation1st reserves the right to decline any order.

 

4. Pricing

4.1 Unless otherwise stated, prices exclude:

  • freight and delivery

  • customs duties

  • import taxes

  • local taxes including VAT

  • customs clearance charges.

4.2 Where these costs cannot be confirmed at the time of quotation they will be confirmed prior to production.

 

5. Cost Fluctuation and Surcharge

5.1 Innovation1st reserves the right to adjust pricing where there are material increases in:

  • raw materials

  • supplier costs

  • freight or logistics costs

  • customs duties or tariffs

  • exchange rates.

5.2 Where such increases occur after order confirmation but prior to dispatch, Innovation1st shall notify the Customer and may apply a reasonable surcharge reflecting the increase.

 

6. Artwork and Customer Materials

6.1 The Customer is responsible for the accuracy and completeness of all artwork, branding, specifications and materials supplied.

6.2 The Customer must approve all artwork proofs prior to production.

6.3 Once approved, Innovation1st shall not be liable for errors contained within approved artwork.

6.4 The Customer warrants that it has the legal right to reproduce any trademarks, logos or intellectual property supplied to Innovation1st.

6.5 The Customer indemnifies Innovation1st against any claims arising from infringement of intellectual property rights relating to such materials.

 

7. Manufacturing and Product Variations

7.1 Custom manufactured goods are subject to industry-standard tolerances.

7.2 Orders are subject to a ±5% production variance.

7.3 The Customer will be invoiced for the quantity actually delivered.

7.4 Minor variations may occur in:

  • colour

  • materials

  • print positioning

  • decoration methods

  • packaging.

Such variations shall not constitute a defect.

 

8. Delivery

8.1 Delivery dates are estimates only.

8.2 Innovation1st shall not be liable for delays caused by:

  • manufacturers

  • freight carriers

  • customs authorities

  • port congestion

  • supply chain disruptions.

8.3 Risk in goods passes to the Customer upon delivery.

8.4 Where goods are required for a specific event date, Innovation1st will use reasonable endeavours to meet the requested date but does not guarantee delivery by a specific date.

 

9. Storage and Delayed Delivery

9.1 If delivery is delayed due to the Customer’s instructions or failure to accept delivery, Innovation1st may store the goods.

9.2 Innovation1st reserves the right to charge reasonable storage and insurance costs during this period.

 

10. Inspection and Claims

10.1 The Customer must inspect goods immediately upon delivery.

10.2 Any claim relating to:

  • shortages

  • defects

  • damage

must be notified in writing within 7 days of delivery.

10.3 Failure to notify within this period constitutes acceptance of the goods.

 

11. Cancellation

11.1 Orders may not be cancelled once production has commenced without Innovation1st’s written agreement.

11.2 Cancellation may result in charges covering:

  • work completed

  • materials purchased

  • committed production costs

  • cancellation charges imposed by suppliers.

 

12. Payment Terms

12.1 Payment terms shall be stated on the quotation or invoice.

12.2 New customers may be required to pay in advance of production.

12.3 Approved credit accounts must pay invoices within agreed credit terms.

12.4 Innovation1st reserves the right to suspend delivery where payments are overdue.

 

13. Late Payment

Innovation1st reserves the right to charge interest on overdue amounts at 4% above the Bank of England base rate or the maximum permitted by law.

 

14. Retention of Title

14.1 Title to goods remains with Innovation1st until full payment has been received.

14.2 Until title passes, the Customer must:

  • store goods separately

  • keep them identifiable as Innovation1st’s property

  • maintain them in good condition.

 

15. Limitation of Liability

15.1 Innovation1st’s total liability arising from any contract shall not exceed the value of the goods supplied under that contract.

15.2 Innovation1st shall not be liable for:

  • loss of profit

  • loss of business

  • loss of reputation

  • indirect or consequential losses.

 

16. Force Majeure

Innovation1st shall not be liable for delay or failure to perform obligations where such delay results from events beyond its reasonable control including:

  • natural disasters

  • supplier failure

  • freight disruption

  • customs delays

  • strikes

  • war or civil unrest

  • government restrictions.

 

17. Compliance and Ethical Trading

Innovation1st operates in accordance with applicable laws including:

  • anti-bribery legislation

  • modern slavery legislation

  • ethical sourcing standards.

 

18. Governing Law

These Terms shall be governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
